Item 1.01 Entry into a Material Definitive Agreement.

On September 1, 2022, Nuveen Churchill Direct Lending Corp. (the “Company”) entered into the First Amendment to Revolving Credit Agreement (the “Amendment”), amending the Revolving Credit Agreement, dated as of September 10, 2020 (the “Credit Agreement”), by and among the Company, as the borrower, the banks and financial institutions listed therein, and Sumitomo Mitsui Banking Corporation, as the administrative agent, letter of credit issuer and a lender, relating to the Company’s revolving credit facility secured by the capital commitments of the Company’s subscribed investors.

The Amendment, among other things: (i) changed the underlying benchmark used to compute interest under the Credit Agreement from the London Interbank Offered Rate (LIBOR) to the Secured Overnight Financing Rate (SOFR); and (ii) extended the stated maturity date of the Credit Agreement from September 9, 2022 to September 8, 2023.
